Terms of Service
Please read these Terms of Service carefully. By creating an account, depositing funds, or purchasing utility products via MaduPay, you enter into a legally binding contract with MaduPay Technologies Ltd.
1. Eligibility & Registration
To access MaduPay services, you must be at least 18 years of age and possess full legal capacity to enter into binding agreements. You must provide accurate, complete, and verifiable identification information during sign-up.
In accordance with Central Bank of Nigeria (CBN) regulations and anti-fraud guidelines, virtual account creation requires successful Bank Verification Number (BVN) validation. You agree not to misrepresent your identity or create fraudulent accounts.
2. Digital Wallet & Stored Value
Important Financial Notice: Non-Interest Stored Value
MaduPay operates as a closed/semi-closed digital utility stored-value platform. Your wallet balance is not a commercial bank deposit and does not accrue interest. All customer funds are held in custodial trust at CBN-licensed, NDIC-insured partner banks (Monnify / Wema Bank).
- Three-Tier Balance System: Your wallet maintains three figures: Total Balance, Locked Envelope Balance, and Safe-to-Spend Balance (where
Total = Locked + Safe-to-Spend). - Funding Channels: You may fund your wallet via Paystack online payments (Debit Card/USSD) or via direct bank transfer to your assigned permanent Virtual Account Number.
- Reversal Policy: Wallet fundings made via bank transfer are considered final once credited. Reversals must be initiated through formal bank recall protocols.
3. Budget Envelopes & Scheduled Billing
MaduPay allows you to ring-fence money into dedicated digital envelopes (e.g. Electricity, Internet Data, Cable TV) to prevent accidental spending.
- Direct-Execution Envelopes: When you execute a purchase using an Envelope as the payment source, the purchase is debited against the locked envelope balance and does not deplete your Safe-to-Spend balance.
- Envelope Deletion: If an envelope is deleted, any remaining unspent limit is immediately credited back to your Safe-to-Spend balance.
- Scheduled Auto-Renewals: Scheduled transactions are executed automatically via Upstash QStash cron workers on your designated recurrence (Daily, Weekly, Monthly). You are responsible for ensuring sufficient wallet/envelope balance at the scheduled runtime.
4. Bill Payments & Delivery SLAs
MaduPay acts as a transaction routing platform integrating multiple licensed aggregators with automated multi-vendor failover.
- Accuracy of Recipient Data: You are solely responsible for ensuring correct phone numbers, meter numbers, and smartcard numbers. MaduPay cannot reverse token deliveries or airtime top-ups sent to mistyped recipient destinations.
- Delivery Timing: 99% of transactions complete within 5 to 30 seconds. In cases of upstream DISCO or telco network congestion, fulfillment may take up to 2 hours.
- Automated Refund Guarantee: If an external provider permanently fails to deliver a token or airtime bundle after all retry routes are exhausted, the deducted amount is automatically refunded to your wallet balance.
5. 0% Interest Micro-Overdraft & Loans
MaduPay offers emergency utility micro-loans (₦5,000 – ₦50,000) at 0% interest rate to eligible users whose wallet balance falls below ₦500.
- Eligibility: Users must have a minimum of 5 successful transactions, no outstanding loans, and meet system credit underwriting rules.
- Tenor & Repayment: Loans must be repaid within thirty (30) calendar days.
- Default & Recovery: In the event of default, MaduPay reserves the legal right to automatically deduct outstanding dues from future wallet fundings, restrict account utility purchasing, and report non-payment to licensed Credit Bureaus.
6. Security & PIN Safeguards
Customer Security Obligation
Your 4-digit Transaction PIN is your electronic signature. Never share your PIN with anyone. MaduPay staff, support agents, and partners will NEVER call or message you asking for your password, PIN, or OTP.
You are responsible for all transactions authorized with your PIN. If you suspect unauthorized access, immediately change your PIN under Security Settings and notify support.
7. Prohibited Use & AML Compliance
You agree not to use MaduPay for any unlawful activities, including but not limited to:
- Money laundering, terrorism financing, or fraudulent financial schemes.
- Testing stolen credit cards, chargeback fraud, or unauthorized third-party bank fundings.
- Reverse-engineering, automated scraping, or DDoS attacks against MaduPay API endpoints.
Violation will result in immediate permanent account termination, forfeiture of illicit balances, and escalation to the Economic and Financial Crimes Commission (EFCC) or Nigeria Police Force.
8. Limitation of Liability
To the maximum extent permitted by Nigerian law, MaduPay shall not be liable for indirect, punitive, incidental, or consequential damages arising from upstream telco outages, DISCO power grid token generation failures, or network provider downtime beyond our reasonable control.
In all events, MaduPay's total aggregate liability to you for any verified claim shall not exceed the actual transaction fee earned by MaduPay on the disputed transaction.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
In the event of any dispute, the parties shall first attempt to resolve the matter through good-faith negotiation within fourteen (14) days. If unresolved, disputes shall be submitted to binding arbitration in Lagos State under the Arbitration and Mediation Act 2023.
